This is the Use and Access Policy for the Zentrex Monitoring Platform (ZMP)

This User Agreement (“Agreement”) governs your access and use of the Zentrex Platform (“Platform”), a cloud-based monitoring platform for power systems provided by Zentrex Pty Ltd (“Provider”, “we”, “us”, “our”). By accessing or using the Platform, you (“User”, “you”) agree to comply with and be bound by this Agreement.

1. Acceptable Use
   You agree to use the Platform solely for lawful purposes and in accordance with this Agreement. You shall not:

• Use the Platform for any purpose that is unlawful, harmful, or in violation of applicable regulations or third-party rights.
• Access or attempt to access any data, systems, or features for which you are not authorised.
• Use the Platform in a manner that could damage, disable, overburden, or impair any Zentrex server or the networks connected to it.
• Transmit any viruses, malware, or other harmful code through the Platform.

2. Intellectual Property Protection
   The Platform, including all software, source code, algorithms, designs, trademarks, logos, documentation, and associated materials, is the exclusive property of Zentrex Pty Ltd and is protected by intellectual property laws.
   You shall not:

• Copy, modify, adapt, translate, or create derivative works based on the Platform.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, or underlying ideas of the Platform.
• Use any information obtained through the Platform to develop or assist in the development of a competing service or product.
• Remove or alter any copyright, trademark, or proprietary notices.

3. Account Security and User Responsibility
   You are solely responsible for maintaining the confidentiality and security of your login credentials. You must:

• Use strong, unique passwords and update them regularly.
• Restrict access to authorised personnel only.
• Immediately notify Zentrex of any suspected unauthorised access or security breach.
  Zentrex is not liable for any loss, damage, or unauthorised access resulting from your failure to implement adequate account security or password practices.

4. Prohibited Conduct
   You agree not to:

• Interfere with the operation, security, or performance of the Platform.
• Attempt to gain unauthorised access to any systems, networks, or data.
• Misuse the Platform in any way that may harm Zentrex’s reputation, systems, or users.

5. Data Ownership and Usage
   All data entered or uploaded by the User remains the property of the User. Zentrex may use anonymised, aggregated data for purposes including performance analytics, service improvement, and benchmarking.
   Zentrex takes reasonable steps to protect user data but does not guarantee absolute security. Zentrex is not responsible for data breaches caused by third-party attacks or user-side misconfiguration.

6. Disclaimer of Warranties
   The Platform is provided on an “as is” and “as available” basis. Zentrex makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Platform will be uninterrupted, secure, or error-free.

7. Limitation of Liability
   To the fullest extent permitted by law, Zentrex shall not be liable for:

• Indirect, incidental, special, or consequential damages;
• Loss of profits, revenue, or data;
• Damages resulting from unauthorised access to your account, including access due to weak password security or other negligent user practices.

8. Termination
   Zentrex may suspend or terminate your access to the Platform at any time for breach of this Agreement. Upon termination, you must immediately cease using the Platform, and all rights granted under this Agreement shall cease.

9. Changes to this Agreement
   Zentrex reserves the right to modify this Agreement at any time. Updates will be posted to the Platform. Continued use of the Platform after changes have been made constitutes acceptance of the revised Agreement.

10. Some components of the Zentrex solution use open-source software licensed under the AGPL3.0, GPL 2.0, Apache 2.0, LGPL-2.1, LGPL-3.0 and MIT. For related inquiries please contact support@zentrex.energy.

11. Governing Law
    This Agreement shall be governed by and construed in accordance with the laws of Queensland, Australia, without regard to its conflict of law rules.
